Re:
Review Requested: Proposed Amendment to UCREA Bylaws for Approval December 9

Dear UCR Emeriti,

During our Holiday Luncheon on December 9, we will hold a brief vote on a proposed amendment to the UCREA Bylaws.

A draft of the Emeriti Association Bylaws that includes the proposed amendment is attached. In Section V Officers, immediately after the words "(2 year terms with the possibility of re-election for the Secretary and Treasurer)," the following words are to be added:

"In the event that the office of Vice President is vacant, or the current Vice President has served less than a year in that office, the President may be re-elected for an additional term."

At the meeting of the UCR Executive Board on November 9, the Board approved this proposed amendment for referral to the members, with the following justification:

Section V of the UCREA Bylaws provides that the Vice President succeeds to the office of President at the end of the term of the President. Due to a resignation, at present the Emeriti Association has no Vice President, making it unclear how the office of President will be filled when the terms of the current Co-Presidents expire. The proposed amendment would make it permissible for a current President to be re-elected under these circumstances. It would also make it possible for the Board to elect a replacement for the Vice President, without obligating the newly elected Vice President to assume the office of President without sufficient preparation.

UCR Emeriti Association members will be asked to approve this proposed amendment to our bylaws during a brief membership meeting that will be held during the Holiday Luncheon on December 9. Members who cannot attend the December 9 luncheon who wish to vote on the proposed amendment can do so by emailing their vote no later than December 8 to UCREA Secretary Brad Hyman at bhyman at ucr.edu.

Sincerely,

Darleen DeMason and Rusty Russell, Co-Presidents
UCR Emeriti Association
